By accessing and using PayrollPulse (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. PayrollPulse, Inc. ("Company," "we," "us," "our") reserves the right to modify these terms at any time. Continued use of the Service following such modifications constitutes your acceptance of the updated terms.
2. Description of Service
PayrollPulse provides a cost benchmarking platform that allows businesses to compare their payroll, benefits, insurance, and HR software costs against market data. The Service is provided "as-is" and is intended for informational purposes. We do not provide financial advice, investment advice, legal advice, or insurance brokerage services.
3. User Responsibilities
You are responsible for:
- Providing accurate, complete, and truthful information when using the Service
- Maintaining the confidentiality of your account information
- Notifying us immediately of any unauthorized access to your account
- Complying with all applicable laws and regulations in your use of the Service
- Not using the Service for any illegal or harmful purposes
- Not attempting to reverse-engineer, hack, or gain unauthorized access to our systems
4. Benchmark Data Disclaimer
Benchmark data provided by PayrollPulse is based on aggregated market information, surveys, and historical data. This data represents estimates and general market trends, not guarantees. Actual costs vary significantly based on company size, location, industry, benefits structure, and individual negotiations. PayrollPulse makes no warranty regarding the accuracy, completeness, or applicability of benchmark data to your specific situation.
You acknowledge that benchmark data should be used as a general reference only and should not be the sole basis for business decisions. We recommend consulting with independent advisors before making significant changes to vendor relationships or cost structures based on our data.
5. Vendor Recommendations and Marketplace
PayrollPulse may recommend or match you with service providers based on your benchmarking data and needs. These recommendations are based on data-driven analysis, not endorsements. We do not guarantee the quality, performance, or suitability of any recommended provider. The relationship between you and any service provider is independent of PayrollPulse.
We earn referral fees from providers when you switch services. This referral relationship does not constitute a guarantee of quality or performance. We do not act as a broker, agent, or representative of any service provider.
6. Intellectual Property Rights
All content on the PayrollPulse website and in our Service, including text, graphics, logos, images, code, and software, is the property of PayrollPulse or its content suppliers and is protected by copyright and other intellectual property laws. You are granted a limited license to access and use the Service for your own internal business purposes.
You may not reproduce, distribute, transmit, display, or otherwise use any content from the Service without prior written permission from PayrollPulse, except as permitted by law. Any unauthorized use of our intellectual property is prohibited.
7. Limitation of Liability
To the fullest extent permitted by law, PayrollPulse shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, lost revenue, or lost opportunity, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising from or relating to the Service shall not exceed the amount you paid to PayrollPulse in the 12 months preceding the claim, or $100, whichever is less. Some jurisdictions do not permit limitations on liability, so this limitation may not apply to you.
8. Disclaimer of Warranties
The Service is provided "as-is" and "as-available." PayrollPulse makes no warranties, expressed or implied, regarding the Service, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or availability. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected.
9. Termination
You may terminate your account and stop using the Service at any time by contacting us. PayrollPulse may terminate or suspend your account and access to the Service at any time, with or without cause, including for violation of these terms or other policies.
Upon termination, your right to use the Service ceases immediately. PayrollPulse may retain your data for a period of time in accordance with our Privacy Policy.
10. Indemnification
You agree to indemnify, defend, and hold harmless PayrollPulse and its officers, directors, employees, agents, and successors from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these terms, or your infringement of any third-party rights.
11. Governing Law and Jurisdiction
These Terms of Service are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflicts of law principles. Any legal action or proceeding arising under these terms shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
12. Dispute Resolution
Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation. If negotiation fails, disputes may be resolved through binding arbitration in accordance with the American Arbitration Association rules, rather than in court. This arbitration will occur in Delaware.
13. Severability
If any provision of these Terms of Service is found to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
14. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and PayrollPulse regarding the Service and supersede all prior and contemporaneous agreements, understandings, and communications.
